ACA-UBO-005
UBO Framework
Version 1.0 — ACA Standard
How to Use This Framework
Use this UBO framework to systematically identify and verify beneficial owners of your corporate customers. Apply UBO identification procedures at account opening and conduct periodic verification to detect ownership changes. Document all UBO identification activities and maintain evidence supporting beneficial ownership conclusions.
Overview
The ACA Ultimate Beneficial Owner (UBO) Framework provides guidance for identifying and verifying the beneficial owners of legal entities, particularly important in contexts with complex ownership structures and limited corporate transparency. This framework addresses the specific challenges of UBO identification in African markets where corporate registries may be incomplete and beneficial ownership information is not always readily accessible.
Scope
This framework covers UBO identification procedures, beneficial ownership verification methods, complex structure analysis, and ongoing beneficial ownership monitoring. It addresses different legal entity types including corporations, partnerships, and other business structures.
UBO Identification Principles
Effective UBO identification requires systematic procedures to identify natural persons who ultimately own or control legal entities. Procedures should include documented UBO identification at account opening, verification of identified beneficial owners through available evidence, analysis of ownership chains and control mechanisms, and documentation of findings.
Identification Methodologies
UBO identification employs multiple methodologies including document review of ownership records, shareholder interviews to confirm beneficial ownership, transaction pattern analysis to identify control indicators, and cross-reference checking against public information sources. In contexts with limited corporate transparency, combined methodologies provide more robust beneficial ownership verification.
Complex Structure Handling
Complex ownership structures require systematic analysis. Layered ownership structures should be analyzed to identify ultimate beneficial owners rather than intermediate corporate owners. Trusts and similar arrangements require identification of beneficial control holders. Nominee arrangements require identification of actual beneficial owners rather than nominees.
African Context
In African markets with limited corporate registries and sometimes informal business structures, UBO identification requires adaptation of methodologies to local conditions while maintaining effectiveness in identifying beneficial owners.
Ongoing Monitoring
Beneficial ownership information requires periodic verification to detect changes. Significant ownership changes or control transfers should be documented and assessed for compliance implications.
Version Information
