Compliance Operating Model
Version 1.0 — ACA Standard
How to Use This Framework
This framework is intended to support financial institutions in structuring internal compliance systems, identifying implementation priorities, and aligning operating practices with regulatory expectations. Use this framework to develop policies, design governance structures, establish procedures, and build compliance capability. Tailor implementation to your institution's specific context, regulatory requirements, and operational capacity.
Overview
The ACA Compliance Operating Model provides a comprehensive framework for establishing and structuring an effective compliance function within African financial institutions. The operating model addresses organizational structure, governance relationships, staff capabilities, systems and processes, and performance management mechanisms. It is designed to work within varying organizational contexts and institutional sizes while maintaining compliance effectiveness.
An effective compliance operating model requires clear organizational placement of the compliance function, defined relationships with other organizational units, adequate resource allocation, appropriate technology infrastructure, and management accountability for compliance outcomes. This framework provides guidance on each element adapted to African institutional contexts.
Scope
This framework applies to all financial institutions establishing or enhancing their compliance functions. It covers organizational structure, roles and responsibilities, governance relationships, resource requirements, competency frameworks, technology requirements, and performance management. The framework is designed to accommodate institutions at different stages of compliance infrastructure maturity, from those establishing initial compliance programs to those enhancing mature functions.
Compliance Structure
Compliance function structure establishes the organizational placement and relationships enabling effective regulatory oversight. The compliance function should report to senior management with board-level oversight through compliance or risk committees. Clear functional accountability ensures compliance function independence while maintaining organizational integration. Compliance should maintain appropriate organizational status enabling engagement with business units and escalation of serious compliance concerns. Organizational placement should reflect institutional size and complexity while ensuring compliance function independence and adequacy of resources.
Three Lines Model
The three-lines-of-assurance model allocates compliance responsibility across organizational functions. The first line of assurance consists of business units responsible for compliance in their activities. They implement controls, conduct due diligence, monitor transactions, and maintain compliance documentation. The second line of assurance is the compliance function responsible for compliance policy development, monitoring first-line compliance, providing guidance to business units, and escalation of compliance issues. The third line of assurance is internal audit providing independent assessment of compliance function effectiveness and organizational compliance. This model ensures both ownership of compliance responsibility and independent oversight.
Roles & Responsibilities
Clear role definition ensures accountability and prevents compliance gaps. The Board establishes compliance strategy and provides oversight of compliance function effectiveness. The Chief Compliance Officer carries functional responsibility for all compliance activities, maintains compliance function independence, and escalates serious compliance issues. The Compliance Department develops policies, provides guidance to business units, monitors compliance, and escalates concerns. Business Unit Managers ensure compliance in their unit's activities and coordinate with compliance function. Business Unit Staff implement day-to-day compliance controls and procedures. Internal Audit assesses compliance function effectiveness and organizational compliance.
Reporting Lines
Reporting relationships establish the governance connections ensuring oversight and escalation. The compliance function should report functionally to the Board or Board-level Risk Committee to ensure organizational independence and direct escalation of serious issues. The Chief Compliance Officer may report administratively to the Chief Executive Officer or Chief Financial Officer. Compliance Department teams should report to the Chief Compliance Officer with clear responsibility allocation across regulatory domains. Business units maintain primary responsibility for compliance in their activities while receiving compliance guidance and oversight. Effective reporting lines ensure both operational integration and compliance function independence.
Governance Model
Effective compliance governance requires clear board and executive oversight mechanisms. The Board or Board-level Risk Committee should receive regular compliance reporting, approve compliance strategy and policies, monitor compliance function performance, and ensure adequate compliance resources. Executive management should allocate adequate resources to compliance, support compliance function independence, receive regular compliance updates, and enforce compliance culture. Compliance leadership should provide regular reporting on regulatory compliance and emerging risks, escalate serious issues to executive management and the Board, and manage compliance function performance. Governance mechanisms should include clear accountability, regular reporting, and performance management.
Control Framework
Compliance controls ensure consistent implementation of compliance policies and procedures. Policy documentation establishes required compliance standards and expectations. Systems and procedures provide structured approaches to compliance execution. Staff training ensures consistent understanding and application of compliance procedures. Monitoring and assessment identify compliance gaps and control weaknesses. Escalation procedures ensure that compliance issues receive appropriate attention and resolution. Documentation requirements maintain evidence of compliance activities and control operation. Effective control frameworks provide the operational infrastructure enabling consistent compliance execution.
Implementation Roadmap
Successful compliance operating model implementation requires structured change management. Current state assessment identifies existing compliance capabilities and organizational structure. Design phase develops the target operating model reflecting framework guidance. Planning phase identifies required changes, resource needs, training requirements, and implementation timeline. Execution phase implements organizational changes, deploys systems and policies, and conducts staff training. Verification phase assesses compliance with the operating model. Continuous improvement phase establishes ongoing performance management and model refinement. Implementation should recognize organizational context and progress in phases while maintaining compliance effectiveness throughout the transition.
